Biography

Between college and law school Mr. Long served as an officer in the United States Navy. Upon graduation from law school, Mr. Long was an attorney with the Internal Revenue Service followed by an appointed position in the administration of then-Governor William Milliken and employment as counsel with the Michigan State Housing Development Authority. Since 1974 he has been in the private practice of law in Ann Arbor.

He has worked with many start-up and small companies. He helps his clients in attracting and obtaining equity and debt financing appropriate for their needs and in conformance with applicable securities and related law. Services include those associated with selection and establishment of appropriate entities, contract reviews, license negotiations, tax counseling and so forth. He has prepared many private placement memoranda and related securities offering materials and assisted his clients in connection with comprehensive due diligence reviews and third party negotiations.

He has also been active in encouraging a favorable business climate in the region. This has included performing legal services for economic development organizations such as Ann Arbor Spark, the Washtenaw Development Council (also serving as president), the Ann Arbor Area Chamber of Commerce (also serving as a director), the Ann Arbor Area Convention and Visitors Bureau, Inc., and The Economic Development Corporation of the City of Ann Arbor.

Mr. Long has extensive experience with real estate matters. He has acted as counsel in connection with many complex transactions and financing packages. He has assisted developers of housing for the low/moderate income and owners of historic properties in seeking and obtaining favorable tax treatment and benefits under local, State and Federal law. He has participated in numerous revenue bond offerings as counsel to issuers, owners, bond purchasers and/or institutional trustees.
