Randy Wright moderated a panel discussion on The Current State of and Opportunities in the Russian Automotive Sector presented by the US Russia Business Council at The Westin Book Cadillac Hotel on January 12, 2012. Randolph T. Barker has been elected director of the Detroit Association of Realtors for the three year term beginning January 1, 2012. DAR is one of the largest organizations of real estate professionals in Michigan, whose mission is to educate and to promote the highest professional and ethical standards among its members. Mr. Barker has significant experience with commercial, industrial and residential real estate transactional and litigation matters, including leasing, land development, financing, boundary disputes, property tax appeals and construction lien issues. Berry Moorman was an exhibitor at the recent Michigan Nonprofit Association SuperConference in Lansing, Michigan. There were over 500 attendees at the SuperConference, including Governor Snyder. The association provides support to almost 900 member organizations and is open to all nonprofit organizations and governmental entities as well as the business and consultants that serve them.

Berry Moorman hosted a presentation by First American Title regarding the packaging of due diligence services in commercial real estate transactions.

Sheryl A. Laughren spoke on corporate governance before the Michigan Assisted Living Association ("MALA") annual conference. MALA is a nonprofit organization representing 4,200 assisted living, residential and vocational services programs that serve over 40,000 individuals statewide.

At the request of the Membership Committee of a nonprofit entity, Thomas M. Sullivan gave a presentation on April 29, 2011 to nonprofit's Board of Directors with respect to officers and directors duties and obligations regarding governance responsibilities.

On April 20, 2011, David M. Foy made a presentation to Garden City Hospital residents on the topic of key terms of employment agreements including at-will provisions, bonus issues and noncompetition covenants. He will be doing a similar presentation to Oakwood Hospital residents on June 3, 2011.

Earlier this month, Randolph M. Wright and Simon Edelstein led a trade mission to Russia which focused on the Russian forestry and railroad industries. The participants were original equipment manufacturers of equipment used in these industries who are steadily growing their market share. These companies successfully entered the Russian market two years ago as a result of a trade mission that was also led by Randy and Simon. Four Berry Moorman Employees Raise over $2,000 for Special Olympics Michigan

On February 19, 2011, four brave Berry Moorman team members jumped into the icy waters of the Detroit River to raise money for Special Olympics, Michigan. Linda Reyna, Mariuca Rofick, Maryann Szpont and Caitlin Murphy raised over $2,400 for intellectually challenged children and earned the privilege of freezing their toes off in the 2011 Polar Plunge. The Plunge Team sported matching Berry Moorman hockey jerseys and Detroit Athletic Club robes and jumped into balmy 32 degree water. They were greeted with below freezing air temperatures and whipping winds as they jumped back out. The jump was shown on the Channel 4, 6 o'clock news. The Special Olympics Michigan puts on athletic events for intellectually challenged children around the state of Michigan.

John J. Schrot, Jr. Gives Presentation on Family Law Topics

John J. Schrot, Jr. spoke on the family law topics of property division and economic issues at a seminar hosted by the Oakland County Bar Association. The Association's Continuing Legal Education Committee annually conducts an Introduction to Practice Series in five sessions, which addresses practice in Circuit, District, Family, and Probate courts. The final installment features Law Practice Management. The series is for any newly-admitted attorneys or those attorneys who are expanding or changing the focus of their practice. Various experienced attorneys and judges were asked to speak upon subjects of which they have expertise.

The mission of the Oakland County Bar Association is to serve the professional needs of its members, improve the justice system, and ensure the delivery of qualify legal services to the public. Mr. Schrot's practice involves family law, including issues involving property division and economic issues, and business law.

John J. Schrot, Jr. and Donald F. Carney, Jr. are serving as mentors for the Women's Bar Association ("WBA"). The WBA is part of the Women Lawyers Association of Michigan whose mission is to advance the interests of women members of the legal profession, to promote improvements in the administration of justice, and to promote equality and social justice for all people.

John and Don will mentor law students from Cooley Law School, Wayne State University Law School, and the University of Detroit Mercy Law School. The program, sponsored by the National Business Institute and held July 26, 2010, discussed methods for curing defective sales and addressing post-foreclosure title issues, lender options regarding borrower redemption rights, property preservation issues, and recent developments in state and federal law.

On June 10, 2010, Community Legal Resources hosted a workshop for nonprofit organizations addressing various concerns including liability, solvency and bankruptcy, and ideas to share resources to save costs. Richard R. Zmijewski spoke on the topic of director and officer liability and how to identify, prevent, and mitigate liabilities. The presentation and ensuing discussion centered on statutory compliance, fiduciary duties, compliance with IRS regulations involving tax exempt 501(c)(3) organization's and Form 990 requirements, as well as general best practices.

Attorneys Dennis Mitzel and David Foy gave presentations regarding charitable planning and gift giving, and the supervision and evaluation of staff, respectively. Attorneys David Foy and Richard Zmijewski, who contributed to the Michigan Nonprofit Management Manual, 5th Edition, attended Wednesday's Networking Session and spoke with attendees regarding the manual as well as other nonprofit issues. Berry Moorman P.C. announces the expansion of its legal services with the formation of its new family law practice headed by John J. Schrot Jr., who joined the firm this year as a Shareholder in its Birmingham, Michigan law office.

Wright was recently re-elected for a three year term to the Board of Directors of Search for Common Ground, a Washington DC and Brussels, Belgium based non profit organization working to transform the way that the world deals with conflict -- moving from adversarial approaches to resolve conflicts peacefully. Search for Common Ground has operations in 22 countries working with 575 local partners in some of the most contentious environments in the world. It's media arm Common Ground Productions has reached over 100 million people through radio and television programming.

Blackhawk Automotive Plastics Bankruptcy Update

With the two year anniversary of the Blackhawk Automotive Plastics bankruptcy filing fast approaching, the case has reached the point where a number of preference claims have been filed. Blackhawk suppliers have been sued for recovery of any payments the suppliers received in the 90 day period before the bankruptcy filing on October 22, 2007. Preference claims are particularly insulting because many suppliers suffered losses and wrote off amounts owed on the Chapter 11 filing date. Our firm represents many automotive suppliers and has successfully defended preference claims in the recent wave of automotive related bankruptcies, including Tower Automotive, Collins & Aikman, Dana Automotive, Foamex, etc. Our attorneys have developed proven strategies for successfully defending preference claims and, when necessary, obtaining favorable compromises. Chrysler LLC Bankruptcy

As most of us in this part of the world know, Chrysler LLC has filed a petition under Chapter 11 of the Bankruptcy Code today. Chrysler and the US Treasury have announced that as part of the "first day motions" to be heard by the Southern District of New York Bankruptcy Court, Chrysler will seek the Court's approval to continue to pay its suppliers in the ordinary course of business. If the motion is granted (and there is no reason to believe it will not be) suppliers can expect to see no interruption in payment of accounts receivable from Chrysler LLC. Many Chrysler suppliers were also recently invited to participate in the Automotive Supplier Support Program backed by the US Treasury. Although the Automotive Supplier Support Program leaves all discretion to the US Treasury as to whether a receivable will be purchased and eligible for payment, this offers some additional comfort to suppliers. We are familiar with both the Automotive Supplier Support Program and the procedural rules and issues faced by suppliers in light of Chrysler's bankruptcy petition. Automotive Supplier Support Program

On March 19, 2009 the US Treasury announced the launch of the Automotive Supplier Support Program for suppliers of General Motors and Chrysler LLC. The Program establishes the parameters for participation and qualification. The term of the program is one year or less, if a bankruptcy petition is filed. Although the program has been referred to in the press as the "auto supplier bailout," it is completely up to the US Treasury's agent, Citibank, whether a supplier who participates will have its receivable from either General Motors or Chrysler purchased. It also appears that Citibank's purchase of any receivables from a supplier is contingent upon receiving funding from either General Motors or Chrysler. The Program only applies to valid receivables accrued from March 19, 2009 forward.

Citibank recently made the participation contracts available. We are familiar with the documentation and are prepared to advise automotive suppliers on the pros and cons of participation. Interested suppliers should contact J.P. Murphy of our Detroit office for assistance.

Leland Prince Appointed to the Novi City Planning Commission

Leland Prince was recently appointed by Mayor David Landry to the nine member Novi, Michigan, City Planning Commission. The appointment is for a three year term ending June 30, 2010. Mr. Prince was selected to fill the vacancy on the Commission created when his predecessor, Brian Burke, was asked to serve on the Novi City Council.

The Commission holds public meetings twice each month and is responsible for preparing the Novi Master Plan for Land Use. The Commission also makes decisions and recommendations on a number of issues. These include preliminary site plans, wetland permits, woodland permits, special land use requests, open space subdivision requests, and cluster housing requests.

Mr. Prince is an attorney with Berry Moorman P.C. His practice focuses on commercial and civil litigation, labor and employment law, and corporate law. A resident of Novi, Mr. Prince practices at the firm's Birmingham, Michigan location.

Established in 1921, the Detroit Historical Society's mission is to educate and inspire our community and visitors by preserving and portraying our region's shared history through dynamic exhibits and experiences. The Society is responsible for the overall management and operations of the Detroit Historical Museum, Dossin Great Lakes Museum, and a Collection of more than 200,000 artifacts. This past month, Berry Moorman PC co-sponsored a trade mission for automotive suppliers and other related industries interested in expanding and developing business opportunities in Russia (see April 2008 entry Automotive Trade Mission to Russia). Attorneys Randy Wright and Simon Edelstein returned from the trade mission optimistic that the efforts of the trade mission delegates will yield business opportunities in both Russia and the USA. Automotive Team Supports Trade Mission to Russia, May 11-16, 2008

The US Commercial Service Global Automotive Team, working with the renowned Center for Automotive Research (CAR) in Ann Arbor, MI, organized and recruited a trade mission of US automotive suppliers to Moscow and St. Petersburg, Russia from May 11-16, 2008. The mission was funded by grants from the US Department of Labor, and the Mott Foundation, and was supported by Detroit law firm Berry Moorman, with offices in St. Petersburg.

This was the 4th CAR Mission supported by the USCS Global Automotive Team within the past year. A total of 13 companies applied. Following a selection process, 12 individuals participated, representing several companies & organizations, including Tier I and II suppliers.

The companies met key representatives of Russian, American and foreign automakers: AvtoVaz, Gaz, ZIL, Kamaz, IzhAvto, Renault, Toyota, Ford and General Motors, all of which assemble/manufacture vehicles in Russia. The mission participants also participated in market briefings, site visits, and one-on-one meetings with potential business partners via the U.S. Commercial Service premier matchmaking tool - the "Gold Key Service". Finally, a high-level business reception was organized for trade mission participants and business contacts in the Russian automotive sector at the American Consul General's Residence in St. Petersburg. On March 9, 2008, Randy Wright and Simon Edelstein spoke to University of Michigan-Flint MBA students.  Randy and Simon described their experiences  over the past 14 years in negotiating commercial transactions and resolving disputes in Russia.  They then led a roundtable discussion about the Russian business climate and answered student questions relating to the the upcoming study abroad program.  Both Randy and Simon are members of the Russia practice and International Law practice sections of the law firm.

Professional H-1B Visa Applications and Allocation Cap

Are you an employer looking to hire a foreign national in a professional (H-1B) position? For employment commencing in October, 2008 you may begin filing H-1B applications on April 1, 2008. However, based on last year's events, the entire allocation of visas (also known as "the cap") is expected to be exhausted within a day of that date.

Given the tremendous popularity of the H-1B visa, it is imperative that employers get their applications filed no later than April 1, 2008. In order to do so and to prepare a detailed application, you should contact us as soon as possible if you intend to file with our help.

There are 65,000 H-1B visas available for employment commencing in October, 2008. There are also 20,000 additional H-1B visas for individuals holding master's degrees or higher degrees from U.S. colleges or universities, but these are expected to be exhausted by early April as well. Some employers are exempt from the cap, including colleges, non-profit or governmental research organizations, most universities, and entities "affiliated with or related to" colleges or universities.

Randolph T. Barker has been invited to be the keynote speaker at the Real Estate Investors Association of Oakland's membership meeting on February 14, 2008. The presentation, entitled "Your Game Plan: Covering the Angles" will highlight key considerations for investments in real estate, including identifying the target market, property selection, financing, management, and disposition.

In his real estate practice, Mr. Barker represents owners, landlords, developers, contractors, architects, investors, and lenders in matters involving the acquisition, sale, and leasing of real estate, real estate litigation, and foreclosures. Additionally, he counsels clients regarding development, construction, land use approvals and financing of various projects, including condominiums, retail centers, residential subdivisions, and industrial parks. Mr. Barker regularly speaks before business and professional groups regarding business, real estate, and employment matters, and serves on the State Bar of Michigan Real Property Law Section's Special Committee on Commercial Leasing. Presentation: Developing a Successful Dental Practice

David Foy, George Runstadler and Scott Relf were invited to do a presentation for a group of young dentists at Edison's in Birmingham, Michigan, on October 23, 2007. David, George and Scott highlighted key issues and concerns for the development of successful practices, including what to look for in employment contracts and competition restrictions, office and equipment leases, and the key elements of partnership agreements. They also provided the dentists with sample provisions, due diligence checklists, and insight from their prior experiences representing dental and medical professionals.

On June 28th, 2007, the firm's Business Practice Group presented a seminar "Doing Business in Russia: Opportunities and Challenges" at Automation Alley. The presentation was well received by the attendees, and offered participants a view on the modern Russian business climate. Featured speakers included representatives from the U.S. Dept. of Commerce, CSM Worldwide, Sun Microsystems (Moscow), Alternative M Consulting (Moscow), Baker Tilley Russaudit (Moscow), Global Financial Solutions, and Randolph Wright of the firm's International Practice Group. The speakers identified business opportunities within Russia, described the automotive and OEM structure within Russia, explained the various choices of entity structure available, discussed franchising, taxation and security issues, and highlighted the banking and regulatory environment for foreign investors. The seminar also provided valuable, first-hand accounts of the various speakers' challenges, obstacles and success stories as experienced within the Russian marketplace. Dennis M. Mitzel appeared on the Ann Arbor Community Television Program "Senior Moments." Dennis discussed the new charitable IRA rollover provisions on behalf of Leave a Legacy.

Dennis will also be speaking at the Leave a Legacy Annual Development Day Seminar at the Fairlane Club in Dearborn on May 10, 2007. Dennis will be speaking on "Charitable Giving Techniques." Leave a Legacy is an organization sponsored by the Planned Giving Roundtable of Southeast Michigan to encourage charitable giving through estate plans. Dennis is a past chairman of the Roundtable and a member of the Leave a Legacy steering committee.

Albert Taylor Nelson, Jr. has been appointed a Board Member of City Year Detroit. City Year Detroit is a part of the National Service movement which brings together young adults, up to age 24, to serve the community full time for 10 months. Corps members serve schools through mentoring, tutoring, and after school programs. They strengthen neighborhoods through physical service projects such as park clean-ups, playground builds, and work in food pantries. Corps members are compensated with a weekly stipend, health insurance, federal loan forbearance, and an education award to use towards tuition or student loan repayment.

Randolph T. Barker participated in the Washtenaw County Bar Association's "Lawyers' Road Show" on February 27, 2007, as a volunteer attorney. Randy offered free consultations to area residents in different areas of law, including real estate, business, and construction law. Randy regularly participates in these events in Washtenaw and Monroe counties as a service to the community.

Randy will also serve as faculty to the State Bar of Michigan Real Property Law Section's Breakfast Roundtable program on April 19, 2007 regarding commercial lease agreements. Randy's presentation addresses lease financing issues, including the use of personal guaranties and letters of credit to secure tenant lease obligations. The program is offered in cooperation with the International Council of Shopping Centers.

The Dominican Literacy Center is an adult learning center on Detroit's eastside which provides free one-to-one tutoring to help adults improve their reading, writing, speaking, listening, mathematics, and basic computer skills.

Harvey B. Wallace II has been appointed as a member of the Joint Committee on Employee Benefits of the American Bar Association. The committee is composed of representatives from the American Bar Association's sections of Business Law, Health Law, Labor and Employment Law, Real Property Probate & Trust Law, Taxation, and the Tort, Trial and Insurance Practice. The committee provides continuing legal education in the employee benefits area and meets with government agencies to clarify the law and to streamline employee benefits administration.

Randolph M. Wright will serve as an ex officio Council Member (formerly Chairman) of the International Law Section of the State Bar of Michigan for the fiscal year 2006-2007. The International Law Section provides education, information, and analysis about issues of concern to attorneys through meetings, seminars, a website, public service programs and publication of a journal.

Randy will also serve as a member of the Board of Trustees of the Birmingham Education Foundation for the 2006-2007 school year. The foundation is a 501(C)(3) not for profit organization. Its mission is to identify projects, together with the Birmingham Public School District, that will enhance learning for all students and which cannot be funded without private support.
